Terms of Agreement

Effective Date: January 10, 2026 · Last Updated: October 16, 2026

These Terms of Agreement ("Terms") constitute a legally binding agreement between the individual or organization creating or using an account on Abide365 ("you," "your," "User") and Abide365 (property of De Lo Alto Media, LLC) ("Abide365," "we," "us," or "our"), governing your access to and use of the Abide365 platform, including all associated subdomains, dashboards, applications, and services (collectively, the "Platform" or "Service").

BY CREATING A TENANT (CHURCH/INSTITUTIONAL) ACCOUNT, A CONGREGATIONAL (DISCIPLE/MEMBER) ACCOUNT, OR AN AFFILIATE ACCOUNT — OR BY OTHERWISE ACCESSING OR USING THE PLATFORM — YOU AFFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND (IF APPLICABLE) OUR AFFILIATE PROGRAM POLICY. THE ACT OF COMPLETING ACCOUNT REGISTRATION — INCLUDING THE INSTITUTIONAL ONBOARDING WIZARD, DISCIPLE REGISTRATION VIA A CHURCH INVITE CODE, OR AFFILIATE SIGNUP — CONSTITUTES YOUR ELECTRONIC SIGNATURE AND ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE, DO NOT CREATE AN ACCOUNT OR USE THE PLATFORM.

1. Definitions

  • "Platform" means the Abide365 software-as-a-service application, including the Majestic administrative dashboard, church subdomains (e.g., {church}.abide365.com), and the affiliate portal (affiliate.abide365.com).
  • "Tenant" means an individual church or faith community that has registered for the Platform and received a dedicated subdomain.
  • "Institutional User" or "Shepherd" means an authorized administrator of a Tenant (e.g., a pastor or church staff member) who manages that Tenant's congregation, branding, and settings.
  • "Congregational User" or "Disciple" means an individual member of a Tenant's congregation who registers using a valid church invite code, or an individual who subscribes directly to a self-pay offering of the Platform.
  • "Affiliate" means an individual or organization approved to refer prospective Tenants to the Platform in exchange for commission under the Affiliate Program Policy.
  • "Majestic" means the platform-level administrative role operated by Abide365.
  • "User Content" means any text, journal entries, reflections, messages, profile information, or other content submitted by a User to the Platform.
  • "AI Output" means any content generated by the Platform's artificial intelligence features, including daily devotionals, prayers, scripture selections, lesson content, journey summaries, and conversational responses.

2. Eligibility and Account Authority

2.1 You must be at least 18 years old to create an account on the Platform. The Platform is not directed to, and is not knowingly offered to, children under 13.

2.2 An individual creating a Tenant account represents that they have the authority to bind their church or organization to these Terms.

2.3 Congregational Users must register using a valid, church-issued invite code. Shepherds are responsible for controlling distribution of their church's invite code and for the conduct of members they admit to their Tenant.

2.4 Affiliate accounts are subject to review and approval by Majestic before referral activity generates commission eligibility, as further described in the Affiliate Program Policy.

3. Account Registration and Acceptance

3.1 Tenant/Institutional accounts are created through the institutional onboarding wizard (church details, seat selection, subdomain selection, and branding). Completion of onboarding constitutes acceptance of these Terms on behalf of the Tenant and all subsequent Congregational Users admitted to that Tenant, subject to Section 3.3.

3.2 Congregational/Disciple accounts are created via registration on a Tenant's subdomain using a valid invite code, or via direct self-pay subscription checkout where offered. Completion of registration or checkout constitutes each individual Congregational User's independent acceptance of these Terms.

3.3 A Shepherd's acceptance on behalf of a Tenant does not eliminate the requirement that each Congregational User separately accept these Terms upon their own registration; each User is independently responsible for their own compliance.

3.4 Affiliate accounts are created via the affiliate signup flow. Submission of an affiliate application constitutes acceptance of these Terms and the Affiliate Program Policy, effective upon submission, with commission-earning status contingent on Majestic's approval.

4. Subscriptions, Fees, and Payment

4.1 Seat-based licensing. Tenants subscribe to the Platform on a seat-based model. The applicable price per seat, billing cadence, and total seat count are presented and confirmed during onboarding or subsequent seat adjustments and are subject to change on notice as described in Section 4.5.

4.2 Disciple self-pay plans. Where the Platform offers direct-to-consumer subscription plans, pricing (including any first-period promotional discount) is presented at checkout. Subscriptions renew automatically at the plan's standard recurring rate unless cancelled prior to renewal.

4.3 Payment processing. All payments are processed by Stripe, Inc. ("Stripe"). By subscribing, you authorize recurring charges to your designated payment method until cancelled. Abide365 does not store full payment card numbers.

4.4 Promo codes and seat grants. Promotional codes, discounted seats, or complimentary seat grants may be offered at Abide365's discretion and are subject to the specific terms disclosed at the time of the offer, including expiration and reversion to standard pricing.

4.5 Price changes. Abide365 may change seat pricing or subscription plan pricing prospectively upon reasonable notice. Changes do not retroactively affect amounts already billed.

4.6 Non-payment and Tenant Lock. If a Tenant's payment fails or an account becomes delinquent, Abide365 may lock the Tenant's subdomain, suspending access for all associated Shepherds and Disciples, until the account is brought current.

4.7 Cancellation. (a) A self-pay Disciple may cancel their individual subscription at any time through their account settings or billing portal. Cancellation takes effect at the end of the then-current paid billing period; no partial refunds are provided for the unused portion of a period except as required by law. (b) Seats provided through a Tenant subscription are managed by the Tenant's Shepherd(s); a Congregational User whose access is tied to a Tenant seat cannot individually cancel that seat and must contact their church administrator. (c) Tenant subscriptions may be cancelled or adjusted by the Institutional User through the applicable billing management tools, subject to any minimum term disclosed at signup.

4.8 Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

5. Use of the Platform; AI Features

5.1 License. Subject to your compliance with these Terms, Abide365 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose (spiritual formation, congregational engagement, and related administrative functions).

5.2 AI-generated content. The Platform uses artificial intelligence, including retrieval-augmented generation referencing the Bible, to produce devotionals, prayers, lesson content, conversational guidance, and journey summaries. AI Output is generated algorithmically and, notwithstanding its scriptural grounding, is not a substitute for pastoral counsel, licensed mental health treatment, medical advice, or emergency services. AI Output may occasionally be inaccurate, incomplete, or inconsistent with a particular denomination's doctrine.

5.3 Pastoral guidance alerts. The Platform may algorithmically flag a Disciple's journal entries for a Shepherd's attention when content suggests possible emotional or spiritual distress. This feature is a supplementary tool for Shepherds and is not a crisis intervention service, does not involve continuous human monitoring, and should never be relied upon in a medical, psychiatric, or safety emergency. Users experiencing a crisis should contact local emergency services or a crisis hotline immediately. Abide365 disclaims responsibility for a Shepherd's response time or actions (or inaction) following any flag.

5.4 Not a licensed counseling service. Neither Abide365 nor any Shepherd using the Platform is, by virtue of the Platform, providing licensed medical, psychological, psychiatric, or legal advice. Shepherds are solely responsible for the pastoral care they provide to their congregation.

5.5 Church invite codes. Shepherds are responsible for safeguarding their Tenant's invite code and for the accuracy of representations made to prospective members regarding registration.

5.6 Direct messaging. Messaging features are provided to facilitate pastoral communication within a Tenant. Messages are tenant-scoped; Shepherds may only message members of their own congregation. Abide365 does not pre-screen message content but reserves the right to review content in connection with abuse investigations or legal process.

6. User Content

6.1 You retain ownership of the User Content you submit. By submitting User Content, you grant Abide365 a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, and use such content solely as necessary to operate, maintain, and improve the Platform (including generating AI Output personalized to you and enabling your Shepherd's pastoral oversight functions as described in the Privacy Policy).

6.2 You represent that you have all rights necessary to submit your User Content and that it does not infringe or violate any third party's rights.

7. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to another Tenant's subdomain, data, or accounts; (c) circumvent seat limits, invite-code controls, or payment obligations; (d) reverse-engineer, scrape, or interfere with the Platform's operation or security; (e) upload harmful code; (f) impersonate any person or entity; or (g) use the Platform to harass, threaten, or harm another person.

8. Intellectual Property

The Platform, its software, design, trademarks (including "Abide365"), and all underlying technology are the exclusive property of Abide365 or its licensors. These Terms do not grant you any right to use Abide365's trademarks, logos, or branding except as expressly permitted (e.g., an approved Affiliate's use of referral materials, or a Tenant's own church branding within their subdomain).

9. Third-Party Services

The Platform relies on third-party service providers to operate, including but not limited to: Stripe (payment processing and, for Affiliates, payout transfers), Twilio (SMS notifications), Resend (transactional email), Supabase (database, authentication, and storage infrastructure), Vercel (application hosting), Cloudmersive (virus scanning of files uploaded to internal records), and one or more third-party artificial intelligence model providers (for AI Output generation). Your use of the Platform is also subject to the applicable terms of these providers where you directly interact with them (e.g., entering payment details into a Stripe-hosted checkout page).

10. Disclaimers

THE PLATFORM AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. ABIDE365 DOES NOT WARRANT THE THEOLOGICAL ACCURACY, DOCTRINAL FIT, OR PASTORAL ADEQUACY OF ANY AI OUTPUT FOR ANY PARTICULAR FAITH TRADITION OR CONGREGATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABIDE365 AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. ABIDE365'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU (OR YOUR TENANT) PAID TO ABIDE365 IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE PROHIBITED.

12. Indemnification

You agree to indemnify and hold harmless Abide365 from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your User Content, or your misuse of the Platform, including, for Shepherds, claims arising from pastoral care decisions made or not made in connection with Platform features.

13. Term, Suspension, and Termination

13.1 These Terms remain in effect for as long as you maintain an account or use the Platform.

13.2 Abide365 may suspend or terminate any account for breach of these Terms, non-payment, fraudulent activity, or as reasonably necessary to protect the Platform or other Users.

13.3 Upon termination, your right to access the Platform ceases; certain provisions (including Sections 6, 8, 10, 11, 12, and 15) survive termination.

14. Changes to These Terms

Abide365 may modify these Terms from time to time. Material changes will be communicated through the Platform or by email to the address on file. Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the changes.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration.

16. Miscellaneous

16.1 Entire Agreement. These Terms, together with the Privacy Policy and (where applicable) the Affiliate Program Policy, constitute the entire agreement between you and Abide365 regarding the Platform.

16.2 Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

16.3 Assignment. You may not assign these Terms without Abide365's consent; Abide365 may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.4 No Waiver. Abide365's failure to enforce any provision is not a waiver of that provision.
